- Introduction
These Terms of Service govern the access to and use of the Mera Monitor platform provided by AAPNA Infotheek Private Limited referred to as the Company.
By accessing, installing, registering for, or using the Mera Monitor platform, the customer referred to as the Client or User agrees to be bound by these Terms of Service.
If the Client does not agree to these Terms of Service, the Client must not access or use the platform.
- Description of the Service
Mera Monitor is a workforce productivity intelligence and operational analytics software platform designed to provide visibility into work patterns, system usage, and operational efficiency within an organization’s authorized information technology environment.The platform is intended to support business operations, productivity management, operational transparency, and workforce analytics.
The platform is not intended for unlawful surveillance, covert monitoring, or any activity that violates applicable employment, privacy, or data protection laws.
- Customer Responsibility for Legal Compliance
The Client shall be solely responsible for:- complying with all applicable employment, privacy, and data protection laws
- informing employees and users about the use of the platform
- obtaining all necessary permissions and consents
- ensuring lawful collection and processing of data
- configuring the platform in accordance with applicable laws
AAPNA Infotheek Private Limited shall not be responsible for the Client’s failure to comply with applicable laws.
- Data Processing Roles
For the purposes of data protection and privacy:
The Client shall act as the Data Controller.
AAPNA Infotheek Private Limited shall act as the Data Processor.The Client is responsible for:
- determining the purpose of data processing
- ensuring lawful data collection
- managing user permissions
The Company processes data only in accordance with instructions provided by the Client and applicable contractual obligations.
- Account Registration and Security
The Client is responsible for:
- maintaining the confidentiality of login credentials
- restricting unauthorized access
- ensuring accurate account information
- promptly reporting suspected security incidents
The Company shall not be liable for losses resulting from unauthorized access caused by the Client’s failure to safeguard credentials.
- Subscription and Payment
The platform is provided on a subscription basis.
Subscription fees shall be payable as per:
- agreed pricing plan
- executed commercial agreement
- invoice issued by the Company
Failure to make timely payment may result in:
- suspension of service
- restriction of access
- termination of subscription
The Company reserves the right to modify pricing with reasonable prior notice.
- Acceptable Use
The Client agrees not to:
- use the platform for unlawful purposes
- attempt unauthorized access to systems or data
- interfere with platform performance
- reverse engineer the software
- copy or replicate the platform
- use the platform to violate privacy or employment laws
- transmit malicious code or harmful software
The Company reserves the right to suspend access if misuse is detected.
- Intellectual Property Rights
All intellectual property rights in the platform, including:
- software
- trademarks
- documentation
- analytics models
- product features
remain the exclusive property of AAPNA Infotheek Private Limited.
The Client receives:
A limited
Non exclusive
Non transferable
Revocable licenseto use the platform during the subscription period.
- Service Availability
The Company shall use commercially reasonable efforts to maintain service availability.
However, the Company does not guarantee:
- uninterrupted service
- error free operation
- continuous availability
Scheduled maintenance may be performed periodically.
Emergency maintenance may be performed without prior notice if required to maintain security or stability.
- Service Suspension Rights
The Company reserves the right to suspend or restrict access to the platform in the following circumstances:
- non payment of subscription fees
- violation of these Terms
- security risk detection
- misuse of the platform
- legal or regulatory requirement
Service suspension does not relieve the Client from payment obligations.
- Service Modification Rights
AAPNA Infotheek Private Limited reserves the right to:
- modify platform features
- update functionality
- enhance performance
- discontinue features
- introduce new services
Such changes may be implemented without liability to the Client.
- Data Backup and Recovery
The Company performs periodic system backups to support service continuity.
However, the Client remains responsible for:
- maintaining independent backups
- retaining critical data
- ensuring data retention compliance
- Confidentiality
Both parties agree to maintain the confidentiality of:
- business information
- technical information
- customer data
- proprietary materials
Confidential information shall not be disclosed without authorization unless required by law.
Confidentiality obligations shall survive termination of service.
- Indemnification
The Client agrees to indemnify and hold harmless AAPNA Infotheek Private Limited, its directors, employees, and affiliates from any claims, damages, liabilities, or legal expenses arising from:
- misuse of the platform
- violation of laws
- unauthorized data collection
- breach of these Terms
- negligence or misconduct
- Limitation of Liability
To the maximum extent permitted by law:
The total liability of AAPNA Infotheek Private Limited shall not exceed the subscription fees paid by the Client during the preceding twelve months.
The Company shall not be liable for:
- indirect damages
- consequential damages
- loss of profits
- loss of business
- loss of data
- service interruption
- Force Majeure
The Company shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including:
- natural disasters
- power failures
- network outages
- cyber incidents
- government actions
- labor disruptions
- Termination
Either party may terminate the service in accordance with:
- subscription agreement
- commercial contract
- applicable notice requirements
Upon termination:
- access to the platform shall cease
- outstanding payments remain payable
- Governing Law and Jurisdiction
These Terms of Service shall be governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of the courts located in:
New Delhi, India.
- Updates to Terms
AAPNA Infotheek Private Limited reserves the right to update these Terms of Service from time to time.
Updated versions shall be published on the official website.
Continued use of the platform constitutes acceptance of the revised Terms.
